Senior Counsel - General
The candidate will report to the Vice President ? Legal, Corporate Transactions and Governance. Will be responsible for providing legal counsel with regard to mergers and acquisitions (M&A), divestitures, joint ventures and similar corporate transactions across the firm enterprise, as well as assisting on certain matters relating to corporate governance, corporate finance and/or securities matters. Has close coordination and partnership with multiple functions throughout firm, including the corporate and business development teams, the business units, and all external consultants and outside counsel used during a corporate transaction. Oversee the full lifecycle of the corporate transactions process from inception to due diligence and through negotiation, documentation and integration. Leading and coordinating due diligence across multiple functions and business units. Collaborating with the company?s corporate and business development, tax, finance and HR/benefits teams and with business unit leaders on commercial, operational and legal matters. Actively managing outside counsel. Negotiating and drafting preliminary and definitive transaction documents. Advising senior leadership. Participating in the planning and execution of integration activities. Providing assistance and support for governance and board matters, treasury support, including letters of credit and parent company guaranties, SEC reporting and other public disclosures, and/or other general corporate matters. Work with the Vice President ? Legal, Corporate Transactions and Governance and others within the Corporate Transactions and Governance group.Estimated Salary: $20 to $28 per hour based on qualifications.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
