M&A Accounting Director

Harvest Technical is seeking a Director, M&A Accounting for our Biotech client in the Greater Bay Area
Duties:
Director, M&A Accounting will facilitate the Accounting activities related to recording the Acquired Company acquisition and subsequent asset sale.

Completion of opening balance sheet scrub including:
Evaluation of balances against 12/31 reconciliations for reasonableness (vouching cash to 1/15 statements)
Review Acquired Company assumptions related to transaction costs and severance accruals
Review pre-close equity transactions for appropriate presentation in closing balance sheet
Application of KPMG US GAAP vs IFRS guidance to opening balance to identify adjusting items
Purchase accounting:
Facilitate to ensure that all acquisition related costs are identified and appropriate accounted on the Acquired Company and the Company
Assist Technical Accounting with purchase accounting entries for general ledger entry
Assist Technical Accounting purchase accounting disclosure support gathering
Development of step plan to execute Tax transaction summary elements.
Beyond the purchase accounting, will address (see below table):
February asset sale
Intercompany service agreements
Reorganization accounting step plan
Skills:
Prior experience performing merger and acquisition related accounting integration and transaction accounting.
Experience evaluating accounting records for IFRS vs US GAAP accounting treatment.
Ability to effectively facilitate between accounting teams - acquired and corporate - local and remote.
Ability and willingness to work through detailed records and document recommended accounting - down to the journal entry level
Education:
BA/BS Accounting, or related degree
CPA, public accounting experience
Estimated Salary: $20 to $28 per hour based on qualifications.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
