Tax Associate - Public Finance/Corporate/Not-For-Profit (Rochester)
ER Associates is recruiting for an associate attorney to serve as tax counsel on all types of tax-exempt bond financings and qualified tax credit bond financings, including governmental bonds, qualified 501(c)(3) bonds, tax-exempt equipment leases, qualified residential rental property bonds and other exempt facility financings.
Provide tax support for corporate and commercial real estate practice groups, including corporate reorganization and acquisition transactions, partnership tax matters and qualified employee benefit plan matters.
Research federal and state tax issues associated with the public finance, corporate and commercial real estate practice groups and not-for-profit organizations.
Responsibilities:
Research tax issues and prepare legal memoranda
Conduct tax due diligence associated with tax-exempt bond financings, including reviewing tax questionnaires and related documents and submissions
Prepare tax certificates, IRS Forms 8038 and related documents for tax-exempt bond financings
Provide tax analysis and advice with respect to corporate transaction structures and the provisions and implications of various corporate restructuring, acquisition and divestiture transactions
Prepare applications for 501(c)(3) determination letters, private letter ruling requests and state sales tax exemptions
Qualifications:
Prefer LL.M. in tax
Prefer 2-3 years legal experience in tax matters related to public finance, specifically with tax-exempt bonds
Must be admitted in New York
Must have excellent research and writing skills
Must be able to function effectively in an extremely busy, team oriented environment
Military experience a plusEstimated Salary: $20 to $28 per hour based on qualifications.

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
