Summary:
Specializes in Corporate and Securities and M&A; - must also be agile and willing to support our other legal groups: Intellectual Property and Business Support.
Primarily responsible for legal issues related to Securities Regulation, Securities and Exchange Commission (SEC)/National Association of Securities Dealers (NASDAQ) Filings, Corporate Governance & Maintenance, Company Secretary Support, Maintenance of Domestic and Foreign Subsidiaries, Mergers & Acquisitions, Strategic Alliances, Financing/Debt Transactions, Investor Relations, Insurance/Risk Management/Internal Audit, Benefits/Stock Plan Administration and General Contracts (Shared). Primarily supports Finance, Tax & Treasury, Business Development, International (Shared) and Human Resources (HR) (Shared).
Performs wide range of legal activities to support the operation, strategic growth and development of the Company. Provides legal advice and counsel to legal and business team members. Works with business and technical teams on a day-to-day basis to identify, analyze and propose solutions to legal issues. Provides solution-based advice and counsel. Assists in structuring, negotiating and implementing strategic and commercial transactions, negotiating various agreements and commercial contracts with vendors and other commercial parties. Works with and supervises outside counsel on various legal matters as appropriate. Assists the broader legal team in managing general commercial transactions, international law, litigation and other matters as needed. This position has the opportunity to manage a small team that supports the Corporate & Securities workflow.
## Qualifications
Education:
J.D. and current bar membership in good standing required
Experience and Abilities:
5
years of law firm experience
M&A; experience
Law firm and/or in-house experience advising a publicly traded company as to '34 Act compliance and filings, corporate governance and SEC disclosure issues and subsidiary maintenance
Self-starter, with ability to work independently, initiate and coordinate projects and meet deadlines within a changing, fast-paced environment
Excellent problem-solving skills, sound judgment and strong interpersonal, presentation and communication skills
Pays close attention to detail, handles confidential information with discretion and possesses a can do attitude
A natural leader who can motivate others and thrive in a team environment

The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
