AccuFile, an established library professional services firms, seeks skilled Corporate Paralegal for a full-time direct hire position with a leading international clinical research organization in Waltham, MA . The Corporate Paralegal will be responsible for the management of a portfolio of international and domestic subsidiaries. The ideal candidate will possess 3-5 years of experience as a Corporate Paralegal in an in-house department with a concentration on domestic and international subsidiary management, have expert knowledge of web-based legal entity management tools, e.g. GEMS, proven ability to interact professionally colleagues from multiple functional and regional areas and operate in a fast-paced and demanding environment.
Responsibilities include:
Corporate governance matters for domestic and international subsidiaries with an emphasis on domestic and international subsidiary management including (i) drafting minutes of stockholders and board of directors meetings; (ii) create and maintain corporate minute books; (iii) prepare, process and maintain regulatory filings (i.e. state qualification filings).
Create and maintain worldwide corporate records database (web based, hard and soft copy databases). Extract data from documents and prepare corporate data sheets for domestic and international subsidiaries. Generate reports and manage corporate entity charting software.
Maintain/create tracking systems and other information management processes for legal matters (Real Estate Leases, NDA, Confidentiality Agreements, Power of Attorney, Signature Authority, etc.). Prepare and review closing binders.
Draft correspondence.
Establish, organize and maintain administrative and legal hard copy and electronic department files (including files on-site and off-site).
Perform routine administrative and clerical duties, mailings, photocopying/scanning.
Other paralegal and administrative duties as required for other members of the legal department.
Special projects as assigned.
Qualifications:
College Degree or equivalent with Paralegal Certificate and relevant experience required
3-5 years of experience as a Corporate Paralegal in an in-house corporate legal department with a concentration on domestic and international subsidiary management.
Strong computer and communication skills required. Proficiency at the MS Office Suite (Outlook, Word, Excel, PowerPoint).
Must be capable of learning other specialized database management programs, with limited training.
Great organization and record keeping skills a must.
Attention to detail, ability to work independently and adept at managing and completing several simultaneous projects in a team oriented environment.
Ability to organize and prioritize numerous tasks and complete under time constraints with great attention to detail.
Must be able to handle multiple projects simultaneously and may be required to perform administrative duties for other department members on an as-needed basis.
Must possess good judgment in making decisions and be creative in solving problems.
Excellent interpersonal, verbal and written communication skills.
Client focused approach to work.
A flexible attitude with respect to work assignments and new learning.
Ability to manage multiple and varied tasks with enthusiasm and prioritize workload with attention to detail.

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
