Community Health Systems Professional Services Corporation seeks a Paralegal for its Franklin, TN, headquarters' Legal team.

Summary: A paralegal in the corporate legal department of Community Health Systems Professional Services Corporation provides support to the Vice President - Acquisitions and Development Counsel. The paralegal will assist in some or all of the below functions, as well as other duties as assigned.
Essential Duties and Responsibilities include the following. Other duties may be assigned.
These duties include:
Assisting legal counsel in the coordination of closings for real estate dispositions and acquisitions
Coordinating and assisting the legal counsel in the collection of rent receivables
Assisting legal counsel in review of leases and lease related documents, such as estoppel certificates, SNDAs and similar instruments
Assisting in due diligence activities for acquisitions and development transactions
Coordinating transaction approvals for such transactions
Receiving, indexing, tracking, and filing of closing documents and binders for transactions relating to transactions of all sizes and managing the closing binder data room
Assisting legal counsel in financing transactions
Working with the Acquisitions and Development department and Facilities Management departments
The corporate paralegals also provide the corporate secretary function for the organization's subsidiary entities, including corporations, limited liability companies, and limited and general partnerships. These duties include
All aspects of entity formation, including name research and reservation; preparation of formation documentation (charters, etc.), stock certificate preparation, bylaws or other operating documents, and conduct of initial meetings; preparation of minute books; filing with secretary of state
Conduct of meetings and drafting of resolutions (and consents in lieu of meetings) to authorize the actions of the entities, and serving as the secretary of the meeting
Working with the tax department to establish tax id numbers.
Filing of internal documents within established manual and electronic filing protocols
Preparing annual reports and ensuring they are timely filed
Preparation, processing and filing of assumed or fictitious name filings
Preparing various licenses and registrations for healthcare provider entities
Maintaining corporate records summaries and indices and organizational charts for all entities
Preparing merger documents and other documentation related to entity reorganizations
Processing transfers of ownership interests by private placement securities holders, which includes preparation of transfer documentation, obtaining consents to transfer, obtaining signatures of the parties, cancelling stock certificates and issuing new ones, and maintaining transfer ledgers for these entities and preparing and distributing a quarterly report detailing ownership of all joint venture and syndicated entities
Providing information to all corporate departments and facilities regarding the entities and their ownership and operational structure
The corporate paralegals also assist in a variety of tasks associated with transactions; these duties include:
Preparing approval and authorization resolutions and consents
Performing due diligence on the entities involved in the transactions, and establishing new entities as described above
Assisting attorneys with the closing process
Assisting attorneys with the private placement of securities in joint venture and syndicated entities
By virtue of this position, the candidate will have frequent contact with the highest level executives in the organization.
Education/
Experience:
Suitable dress and decorum and an excellent command of the written and spoken English language are required.
Executive office experience required (3 year minimum; 7 to 10 years preferred).
Bachelors degree required.
