Job Description:
Duties/Responsibilities

The main responsibilities will include drafting and negotiating a variety of agreements including but not limited to:
Master
services
Agreements
Vendor Agreements
Professional Services Agreements
Work Orders / SOW's
Software Licensing Agreements
Non-Disclosure Agreements
Letters of intent
Review and evaluate the terms and conditions in customer requests for proposal (RFPs), and assist business teams in framing responses on legal and contractual matters.
Conducting negotiations with company's clients / vendors across North America (in Person / telephonic). Will include traveling to client locations on a need basis.
Provide feedback to business teams and senior management, regarding potential issues / risks involved in customer RFPs and customer and supplier contracts.
Provide risk assessment of contract terms and conditions and offer alternative approaches to mitigate risk, including negotiating alternative contractual language.
Assist in creating and implementing contracting policies and practices.
Train and advice sales team regarding company's contracting policies and practices.
Prepare, review and negotiate nondisclosure agreements with prospective customers, vendors and other business partners
Providing legal support for ongoing contract management related activities.
As part of the larger contracts team work on continuous improvement of standard form agreements and contract templates.


Key Requirements
The candidate will be expected to have 7-8 years of prior in-house experience working in a transactional capacity, preferably at leading IT companies.

Experience working with customers in finalizing Master Services Agreement and Outsourcing Agreements.
Adequate knowledge and experience with complete life cycle of contract negotiation and management
Willingness and ability to engage on and resolve routine and unique contracting issues
Ability to treat sensitive/confidential information with appropriate discretion
Ability to comprehend complex financial and business concepts, issues and risks, and suggest viable alternatives during negotiation

A self-starter who requires minimum supervision
Ability to handle multiple assignments and achieve project goals and deadlines in a fast-paced environment
Excellent written and oral communication skills
Detail- and team-oriented
Excellent interpersonal, organizational and prioritization skills
The ability to prioritize, manage time well, and work closely with the sales team to quickly address needs and adjust focus as needed.
Quick learner with an ability to scale up and be flexible on work timings
