General Summary of Position
The responsibility of In House Counsel will be leading corporate strategic and tactical legal initiatives. This person will provide senior management with effective advice on company strategies and their implementation, manage the legal function, and obtain and oversee the work of outside counsel. The In House Counsel will be directly involved in complex business transactions in negotiating critical contracts, writing policies and procedures, preparing legal documents and investigating facts.
Duties & Responsibilities
Participate in the definition and development of corporate policies, procedures and programs and provide continuing counsel and guidance on legal matters and on legal implications of all matters.
Continuously monitor compliance with statutory obligations and advise management accordingly.
Review all contracts or any other documentation where the Company has committed itself and assess legal implications that need to be brought to the executive management's attention.
Works with the HR department in conducting performance appraisals and ensure competency and training gaps are addressed.
Structure and manage the company's internal legal function and staff.
Give legal support to the company during company policies, disputes, employment, contracts, etc.
Researches and analyzes law sources such as employment laws and regulations, business laws, statutes, legal articles, and legal codes.
Liaise with relevant departments to ensure that where legal risks have been identified, appropriate courses of action have been taken.
Provide and interpret legal information, conduct training and disseminate appropriate legal requirements to staff.
Advise on legal aspects of the company's financing. Including assessing and advising on current and future business structures and legal entities.
Prepare, review and modify contractual instruments to assist and support various business activities.
Negotiate, review and draft documentation for business transactions and prepare and advise on the necessary checklist to be adopted to ensure information is submitted on time.
Required Knowledge, Skills, and Abilities
Broad, overview experience in intellectual property law including patent law, trademark and copyright law, licensing of IP rights, and IP due diligence.
Experience with corporate international expansion.
Experience working on matters of corporate governance and with a board of directors.
Experience managing other attorneys and supervising support staff in a corporation is required as well as experience with cost effective management of outside legal resources.
Knowledge of employment and business laws
Strong analytical skills are needed.
Intuition is necessary with a good decision making capability is required.
Time management is equally important.
Oral Communication - Speaks clearly and persuasively in positive or negative situations; listens and gets clarification; responds well to questions.
Written Communication - Writes clearly and informatively; edits work for spelling and grammar.
Business Acumen - Understands business implications of decisions; displays orientation to profitability;demonstrates knowledge of market and competition.
Education and Experience Requirements
Possess a Bachelors degree in law related field; and two to four year's related experience; or equivalent combination of education and experience.
